Terms of Service

IMPORTANT NOTICE
This Agreement contains a mandatory arbitration clause and a class action waiver that waives your right to participate in a class action. Please review this document in its entirety before using the Platform.
1. Acceptance of Terms
These Terms of Service govern your subscription to and use of the Platform and Services provided by LevelUp Sales Elite, Inc. (“LevelUp,” “we,” “us”).
By registering, creating an account, or using the Platform, you confirm that:
You have read and agree to these Terms.
You are of legal age to form a binding contract.
All information you provide during registration is true and accurate.
You have the authority to enter into this Agreement personally or on behalf of the entity you represent.
By using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any applicable agreements (such as the Data Processing Agreement or Affiliate Agreement).
LevelUp may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance.
2. Use of the Platform
2.1 Restrictions
You must be at least 18 years old to use the Platform.
You may not use the Platform if you are affiliated with a competitor or intend to use it to compete with us.
2.2 Account Ownership
The individual or business entity that registers is considered the owner of the account.
If ownership disputes arise, LevelUp may suspend access until resolved.
2.3 Intended Use
You and your customers agree not to:
Use the Platform for unlawful purposes.
Misrepresent the Platform or its services.
Reverse engineer, decompile, or attempt to access source code.
Remove proprietary notices.
2.4 Compliance
You are solely responsible for compliance with laws (HIPAA, PCI, GDPR, etc.).
2.5 Privacy
By using the Platform, you consent to our Privacy Policy. You must implement your own Privacy Policy with your customers that offers protections at least as strong as ours.
2.6 Login Credentials
You are responsible for securing your account credentials. Notify LevelUp immediately of unauthorized use.
2.7 Communication Services
You are solely responsible for all communications sent through the Platform (SMS, MMS, email, etc.) and for compliance with laws such as TCPA, CAN-SPAM, and Do Not Call regulations.
2.8 Third-Party Services
If you integrate third-party services, you assume full responsibility for compliance, permissions, and data usage. LevelUp is not responsible for third-party services or their reliability.
2.9 Excessive Use & Trials
LevelUp may limit, suspend, or terminate accounts that use resources excessively or abuse trial periods.
2.10 Platform Updates
LevelUp may change or discontinue features at any time.
2.11 International Use
You must comply with export laws and are prohibited from using the Platform in embargoed countries.
2.12 AI Acceptable Use
Use of AI features must comply with our AI Acceptable Use Policy (Exhibit B).
2.13 Domain Names
Domains purchased through the Platform remain registered to LevelUp until transferred.
2.14 Sub-Account Transfers
Transfers require account holder approval unless specific exceptions apply.
2.15 Certification Program
Certifications are for individuals, not organizations, and may not be misrepresented.
2.16 Ecommerce
You are solely responsible for products/services you sell through the Platform. LevelUp is not a marketplace and does not provide refunds to your customers.
3. White Labeling & Resale Policy
3.1 Resale Restrictions
You are fully liable for your customers’ use of the Platform.
3.2 MAP Policy
Resellers must comply with LevelUp’s Minimum Advertised Price Policy.
3.3 Lifetime Licenses
Lifetime subscriptions are prohibited without written approval.
3.4 License to White Label
LevelUp grants you a limited license to rebrand the Platform. You may not misrepresent your relationship with LevelUp.
4. Payments
Fees: Subscriptions, add-ons, and usage fees are billed in advance or monthly as applicable.
Wallets & Rebilling: Wallet balances may be charged automatically.
Late Payments: Accounts may be canceled for non-payment.
Refunds: Fees are non-refundable except as required by law.
Taxes: You are responsible for all applicable taxes.
5. Affiliate Program
Participation requires acceptance of our Affiliate Agreement. Commissions are earned only if LevelUp can process payment.
6. Intellectual Property
Platform Content is owned by LevelUp or its licensors.
Marks: The LevelUp name, logos, and trademarks may not be used without permission.
User Contributions: Any content you post may be used by LevelUp to fulfill its obligations.
Feedback: Any feedback you provide may be used freely by LevelUp without compensation.
7. Disclaimers
The Platform is provided “as is” without warranties of any kind.
LevelUp does not guarantee uninterrupted service, profitability, or specific outcomes.
Beta products may be offered without warranty.
8. Limitation of Liability
Our liability is limited to the amount paid for services in the last 3 months (or $100 if you only use free services).
We are not liable for indirect, incidental, or consequential damages.
9. Dispute Resolution
All disputes must be resolved by binding arbitration in Dallas, Texas, administered by the American Arbitration Association.
No class actions or consolidated claims are allowed.
10. Termination
LevelUp may suspend or terminate accounts for violations, non-payment, or inactivity.
